Terms of service

The agreement

These terms are between you and ForgeSpex. If you accept them for an organization, you confirm that you may bind that organization, and 'you' then means the organization.

Where we have signed a separate written agreement with your organization, that agreement wins over these terms.

Accounts and workspaces

• A workspace belongs to the customer that created it, not to the individual who signed up.
• The customer's administrators decide who may join the workspace, what each person may see, and who may approve what.
• You are responsible for what happens under your sign-in. Keep it to yourself, and tell us if you think somebody else is using it.
• You must give accurate information, and keep it up to date.

Trials, plans and fees

Any free trial runs for the period we state, and we may end it at any time. Paid plans, their fees and their billing period are set out in the order form or the plan you select when you subscribe.

Fees exclude taxes. Unless the order form says otherwise, a subscription renews for the same period until one side cancels it before the renewal date.

What you may not do

• Break the law, or infringe anybody's rights, with the service.
• Upload malicious code, or anything you have no right to upload.
• Try to reach parts of the service, or data, that are not meant for you.
• Probe, scan or load-test the service without our written permission.
• Resell the service, or copy it to build a competing product.

We may suspend an account that puts the service, or other customers, at risk. We will tell you why, and we will restore it once the cause is fixed.

Your data

Everything you put into ForgeSpex stays yours. You give us the permission we need to host it, back it up, and show it to the people in your workspace, so that we can run the service for you.

We process personal data as described in the privacy policy, and under a data processing agreement where one applies. You are responsible for having a lawful basis for the records you keep about your employees.

You can export your data while your subscription runs. After it ends, see the retention periods in the privacy policy.

The service, and changes to it

We aim to keep ForgeSpex available at all times, and we improve it continuously. Features may be added, changed or withdrawn. We will not make a material reduction to a feature you rely on without telling you first.

Maintenance can take the service offline. We schedule it outside normal working hours where we can.

Compliance is yours, not ours

ForgeSpex helps you keep the records that standards such as ISO 9001 expect. It does not certify you, and it does not guarantee that an auditor will accept what you keep in it. The decisions in your quality system, and the accuracy of what you record, stay with you.

Confidentiality

Each side keeps the other's confidential information to itself, uses it only for this agreement, and protects it as carefully as it protects its own.

Warranties and liability

We provide the service with reasonable skill and care. Beyond that, and as far as the law allows, the service is provided as it is, without other warranties.

Neither side is liable for indirect or consequential loss, or for lost profits or lost data, and each side's total liability in any 12-month period is limited to the fees paid in that period. Nothing here limits liability for death or personal injury caused by negligence, for fraud, or for anything else the law says cannot be limited.

Ending the agreement

You may stop using the service at any time, and cancel a subscription before its renewal date. We may end the agreement if you break these terms in a serious way and do not fix it within 30 days of our notice.

When the agreement ends, access to the workspace stops. Export what you need first.

Changes to these terms

We may update these terms. If a change matters, we will tell you at least 30 days before it takes effect. Using the service after that date means you accept the new terms.
